Terms & Conditions of Use Relating to Bookings

These Terms and Conditions form the General Service Agreement between Epic Tales and your organisation (or you personally if purchasing a service for private use, e.g. for a birthday party). By booking one of our services, you agree to be bound by the Terms and Conditions set out in this legal notice from the moment we acknowledge your enquiry and accept our availability to provide our services to you.

Background

By placing a booking with us, you demonstrate you are of the opinion that Epic Tales and its team hold the necessary qualifications, experience, and abilities to provide services to you and/or your organisation.

We agree to provide services to you and/or organisation on the Terms and Conditions set out here.

Epic Tales has bases around the UK from which the appropriate team will be sent to you and/or your organisation. Bases include South East, South West, the Midlands, Yorkshire and Humberside, North West, Scotland, and London.

Services Provided

The majority of our services are detailed on this website. Information on this website forms part of our agreement as to what you can expect from our services. If you ask us to provide any services or adaptations to our services beyond the information on this website, the written correspondence confirming our acceptance of these additional services or adaptations will be the only amendment acceptable. Breaches of requests or representations made without written confirmation of those requests or representations cannot be relied upon as a breach of these Terms and Conditions.

Term of Agreement

The term of this agreement will begin on the date we acknowledge your enquiry and accept our availability to provide our services to you, and will remain in full force and effect until the completion of our services and/or full payment by you, whichever is later, subject to earlier termination as provided for in this agreement. This term may be extended by mutual written agreement between us.

In the event that either Epic Tales or you or your organisation needs to terminate this agreement prior to completion of our services, the terminating party will be required to provide at least 14 days’ notice to the other.

Your organisation (or, in the case of private agreements, you) agree to do everything necessary to ensure that the terms of this agreement take effect, on the understanding that Epic Tales and its team will be doing the same.

Payments

Except as otherwise provided in this agreement, all monetary amounts referred to in this agreement are in UK pounds.

Epic Tales does accept payments in non-UK currencies subject to exchange rate and bank fees being paid by you or your organisation. Epic Tales reserves the right to charge an admin fee in order to process such payments.

Payment terms

Unless otherwise specified on an invoice from us, payments for our services must be received within 30 days of making a booking, or 1 working day before the date of the booking, whichever is earlier.

The above required payment includes all applicable Value Added Tax and any duties as required by law.

If your organisation is VAT exempt, we still reserve the right to charge VAT on the invoice and provide your organisation with a VAT invoice so it may claim back the VAT through the relevant local tax authority.

Your organisation (or, in the case of private agreements, you) agree to reimburse Epic Tales from time to time for all reasonable and necessary expenses incurred by Epic Tales and its team in connection with providing our services, unless otherwise indicated in writing. Such expenses typically include: travel off the island of Great Britain; subsistence and accommodation for more than one night per booking (except where this is included within the service price, e.g. Story Wizards); parking charges greater than £10 per day; and any other expenses agreed beforehand between us. Epic Tales will provide receipts for all such expenses.

Deposits

Where a deposit is made for our services via this website, that deposit is subject to the Terms & Conditions of Use Relating to www.epictales.co.uk. This includes the provision for refunds (i.e. refund in full is cancelled within 14 calendar days of the booking being placed), except where the booking is placed for a date within 14 calendar days of the date the booking is made.

Late Payments

Any late payment may incur statutory interest and a reasonable admin charge at the sole discretion of Epic Tales.

Cancellation

Cancellation is accepted up to 30 calendar days prior to the date of your booking with a full refund minus the following costs:

  • Specified non-refundable deposits.
  • Any non-refundable accommodation, parking, or other pre-event costs already incurred by Epic Tales in preparation for your service.

If the booking is cancelled with less than 30 calendar days’ notice, Epic Tales reserves the right to offer no refund due to loss of business and staff costs. Any refund made in such circumstances is entirely at the discretion of Epic Tales.

Additional Provision from You or Your Organisation

To enable Epic Tales to provide you with our services, your organisation (or, in the case of private agreements, you) agree to provide our team with an appropriate, accessible, clean, and secure space or spaces for performances and/or workshops, ideally prepared the day before.

You or your organisation agree to allocate parking for our team’s vehicle(s). Our team will confirm what size vehicle will be attending your event upon request. If this cannot be provided, you must inform us beforehand so we can confirm where best to park and agree any applicable charges you or your organisation will need to pay beforehand.

Confidentiality and Intellectual Property

Confidential information refers to any data or information relating to private individuals or businesses which would reasonably be considered to be proprietary to those individuals or businesses, and where the release of that data or information could reasonably be expected to cause harm to those individuals or businesses, including (but not limited to) accounting records, business processes, and records that are not publicly available.

All parties to this agreement agree not to disclose, divulge, reveal, report, or use for any purpose any Confidential Information which is shared, except as authorised in writing. This obligation will survive the expiration or termination of this agreement and will continue for 1 year from the date of such expiration or termination.

All written and oral information and materials disclosed or provided by any party to this agreement is Confidential Information regardless of whether it was provided before or after the date of this agreement, or how it was provided.

All Intellectual Property and related materials used to provide services under this agreement, including any related work in progress that is developed or produced under this agreement, will be the property of Epic Tales. Your organisation is (or, in the case of private agreements, you are) granted a non-exclusive limited-use licence of this Intellectual Property. Title, attribution, copyright, intellectual property rights and distribution rights of such Intellectual Property remain exclusively with Epic Tales.

Upon the expiry or termination of this agreement, all parties to this agreement will ensure the return of any property, documentation, records, or Confidential Information to the appropriate proprietor. 

Capacity

In providing services under this agreement it is expressly agreed that neither Epic Tales and all members of its team are acting as independent contractors for you and/or your organisation, and not as employees. All parties to this agreement acknowledge that this agreement does not constitute a partnership or joint venture between them, and is exclusively a contract for service.

Notices

All notices, requests, demands, or other communications required or permitted by the terms of this agreement will be given in writing and delivered to the parties of this agreement as follows:

  • You and/or your organisation as per online booking form.
  • Epic Tales via email, contact form [NB: links to www.epictales.co.uk/contact], or 86-90 Paul St, London EC2A 4NE, UK.
  • Such other address as any party may from time to time notify the other. 

Indemnification and Insurance

Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, all parties to this agreement agrees to indemnify and hold harmless all other parties and their respective affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees, and costs of any kind or amount whatsoever which result from or arise out of any act or omission of the indemnifying party, its respective affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this agreement. This indemnification will survive the termination of this agreement.

The owner of the trading name Epic Tales will maintain general insurance including coverage for bodily injury and property damage at levels that are considered reasonable in the events and education industries based on the risk associated with the characteristics of our services and only to the extent required and/or permitted by law.

Competitions and Special Offers

From time to time, Epic Tales and its affiliates may offer prizes and special offers. All offers and incentives can be removed without prior notice, including any historical notices.

For a legitimate chance to win any prize, or to be certain of receiving any special offer, it is your responsibility to check for and meet any specific requirements.

Changes to these Terms and Conditions

Any amendment or modification of this agreement or additional obligation assumed by any party to this agreement will only be binding if evidenced in writing and signed an authorised representative of each party.

Updating of these Terms and Conditions

In accordance with the preceding provision, once a booking is made these Terms and Conditions become binding on all parties including Epic Tales. The version of these Terms and Conditions at the time of your booking will be sent to you by email immediately upon our receipt of your booking.

However, until your booking is made, we reserve the rights to change, modify, add, or remove from portions or the whole of these Terms and Conditions from time to time. Changes to these Terms and Conditions will become effective for all bookings made after such changes are posted to this website. It is your obligation to periodically check these Terms and Conditions on this website for changes or updates.

Severability

In the event that any provisions of this agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this agreement.

The waiver by any party to this agreement of a breach, default, delay, or omission of any of the provisions of this agreement by any other party will not be construed as a waiver of any subsequent breach of the same or other provisions by the same or any other party.

Miscellaneous

In the event that legal action is brought to enforce or interpret any term of this agreement, the prevailing party or parties will be entitled to recover, in addition to any other damages or award, all reasonable legal costs and fees associated with the action.

It is agreed that there is no representation, warranty, collateral agreement, or condition affecting this agreement except as expressly provided in this agreement.

This agreement will endure to the benefit of and be binding on the parties and their respective heirs, executors, administrators, successors, and permitted assigns.

Headings are used in this agreement for convenience only, and are not to be considered when interpreting this agreement.

Choice of Law

These Terms and Conditions shall be governed by the laws of the United Kingdom, and you consent to the jurisdiction of the High Court of Justice in London in the event of any dispute. If any of the provisions of these Terms and Conditions are found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of these Terms and Conditions, and the remainder of these Terms and Conditions shall continue in full force and effect. These Terms and Conditions constitute the entire agreement between you and us with regard to the use of this website and its content.
